GLG CouncilRank assigns ratings to Council Members based on qualitative and quantitative measures such as the quality of Council Member and client interactions, the demand those interactions create, referrals to the GLG network and many others. GLG CouncilRank weighs the quality of your interactions with clients more heavily than volume and factors in positively your screening of projects for suitability and conflicts.
GLG Educators

One or more of our clients nominated you to join a GLG Council Member program. The client(s) who nominated you values your insight and would like to be able to follow up with you in the future. Council Members who do not participate in CM Programs will not be able to speak with any client more than three times per calendar year.

Through GLG CouncilRank, a proprietary rating system, positive ratings are given to those consulting activities through our network which provide value to GLG clients and the GLG business as whole. GLG CouncilRank inputs are based on qualitative and quantitative measures such as the quality of Council Member and client interactions, the demand those interactions create, referrals to the GLG network and many others. GLG CouncilRank is an unbiased and fully automated system that is driven exclusively by Council Members. GLG CouncilRank weighs the quality of interactions as most important and has minimal reliance on sheer volume. Accepting projects on topics you are not qualified for or where you cannot be helpful to clients given potential conflicts and the bounds of any obligations and agreements you may have to third parties (which you must adhere to) will negatively impact your GLG CouncilRank.

GLG CouncilRank is an unbiased system driven by Council Member activity. GLG CouncilRank inputs are based on qualitative and quantitative measures such as the quality of Council Member and client interactions, the demand those interactions create, referrals to the GLG network and many others.
Council Members can proactively improve their GLG CouncilRank:
- By updating their professional profile with pertinent information
- By taking advantage of and being responsive to GLG opportunities for which they are qualified
- By staying up to date on key issues in their field, providing the best information they can and being as helpful as possible to GLG clients
- By following the Terms and Conditions of Council Membership

No. We ask you to decline ALL consulting opportunities in which you feel there is ANY conflict of interest or where you otherwise might not be comfortable. All our Council Member/client interactions are governed by our Terms and Conditions of Council Management which make this clear.
Since GLG CouncilRank weighs the quality of your interactions with our clients as the most important factor in determining your CouncilRank, declining projects will not negatively impact your Council Rank. On the other hand, accepting projects for which you are not qualified or unable to consult given your conflicts will do that.

Of course. Our international Council Members are equally as important as our domestic Council Members -- they receive the same program benefits. We are excited to have a global network of GLG Leaders, GLG Scholars and GLG Educators.



Studies of GLG Council Members indicate that they participate for several reasons - two of which stand out. First, they enjoy the exchange of ideas and knowledge about their area of expertise with global business and investment leaders. These exchanges provide our Council Members with a fresh perspective from those who often approach the industry from a different perspective. Second, Council Members are offered an honoraria, which can either take the form of a payment to themselves or their employer. Some Council Members decline to receive an honoraria.

You are always able to accept or decline any invitation to consult before you speak with our clients and notify us in advance of any topics you cannot discuss. If you are uncomfortable with the topic or client, simply decline the project to avoid being promoted to our clients.

No, there are not any penalties if you do not enroll. However, only Council Members participating in GLG Council Member programs will have access to the full suite of GLG's consulting opportunities. As of January 1st, 2006, any Council Member who is not in a GLG Council Member program will be limited to three (3) consultations a year with a client firm, Also, you will not be promoted to or recognized by our clients as a GLG Leader, GLG Scholar or GLG Educator.



Gerson Lehrman Group may ask certain participants to confirm their ability to participate in a GLG Council Member program with their employer. Your Council Manager can explain the details of this requirement to relevant participants.



These programs are designed to provide participating Council Members with more opportunities to consult with our clients and position them as true experts in their field. The programs offer:
- Status and recognition through our custom GLG Council Member program status flags displayed to GLG clients and staff
- Continued eligibility for all GLG products including Council Members On-Call, My Clients and Events, Visits and Education to maximize your engagement potential - general Council Members will not have such access (Educators will not be eligible to participate in some products)
- Ongoing consultative relationships with GLG clients - nonparticipating Council Members will be restricted to three consultations per client firm, per year
- Expanded business network through GLG networking events (GLG Scholars and GLG Leaders only)
- Access to unique industry research through GLG InstituteSM and GLG NewsSM



GLG Leaders are expected to remain as active and responsive in the GLG Councils as they are today. In order to ensure GLG Leaders remain active Council Members, a requirement of participation is that GLG Leaders remain responsive to invitations and accept 75% of the projects they are able to discuss. However, Council Members should never accept a project if they are uncomfortable with the topic or client or if the project may present a conflict of interest. In summary, the program requirements are:
- Participants must decline projects that they cannot accept, in good faith, due to conflicts of interest or otherwise; such declines will not be included in calculating the 75% accept rate.
- Project requests that were sent to Council Member in error (e.g. reasonably determined to be outside the scope of your expertise) shall not be included in calculating the 75% accept rate
- The 75% acceptance target will be calculated based on no more than 125% of a Council Member's typical project invitation volume (assuring you do not have to work more than in the past)

We trust our Council Members to be honest. However, if we notice that a Council Member has become unresponsive, or is declining consultations they would normally accept, we may approach that Member to ask for details and may terminate program participation.

With active client promotion, annual minimum payments, recognition as a GLG Leader, and full elgibility for our suite of consulting products, we anticipate you will have more opportunities to interact with our clients, which could lead to additional financial rewards and increased networking opportunities. - We have devoted substantial time and resources on a platform to ensure all Council Member and client interactions are most productive and are conducted in an ethical, comfortable and transparent fashion.

- Dedicated support and prompt payments to you or your employer
- A breadth of products unmatched in the industry
Remember:
- You can still consult with our clients directly on other types of projects (longer term projects, a retainer relationship, etc.)
- You can still consult with corporations directly.
All we ask is that you arrange your consulting of the type we arrange, with institutional investors through us.

Working with clients of other firms would be a violation of this agreement. You should instruct that client that you are only available to consult through Gerson Lehrman Group.
The added benefits of the GLG Leaders program, such as promotion to our client base, by far the largest and most influential, should outweigh the potential earnings from other companies.




As the Council Member participates in projects he/she will be paid in accordance with the Terms and Conditions of Council Membership (i.e. after submitting invoices through our Council Member website)

We are offering GLG Leaders the ability to interact with other GLG Leaders within their industry on certain mutually beneficial topics. If mutual interest exists on topics approved by GLG and each GLG Leader, GLG will facilitate up to four (4) such peer to peer consultations of up to one-hour each. GLG may require each participant to agree to separate terms of participation for such peer-to-peer interactions. In addition, GLG Leaders will be invited to regional GLG Events.
