We ask those employees to confirm their ability to join the GLG Councils and insist that they do not discuss their employer in the course of their participation. In addition, we give each Council Member the opportunity to vet each project and to decline project invitations before conflicts arise. GLG is inviting a select group of professionals to join its new GLG Council Member Programs. This elite group was chosen based on their GLG CouncilRankTM, a proprietary rating system that ranks Council Members based on the quality of their interactions with GLG clients, or a client nomination. All GLG Council Member interactions are bound by GLG's Terms and Conditions of Council Membership. These Terms and Conditions make it clear that, among other things: Council Members must not provide, and GLG clients must not ask them to provide, any information about their company or other confidential information of any party; All projects are scheduled at the convenience of the Council Member, including after hours All Council Members are required to decline participation in any project that might interfere with his/her other duties Council Members are never under an obligation to consult and may accept or decline any invitation for any reason; and GLG clients are subject to a similar agreement with similar restriction, protections and requirements. Participating Council Members may be invited to telephone consultations, online surveys, in-person meetings (usually no longer than an hour) and other projects within their area of expertise.
